01Who can use DealBasis

DealBasis is a business tool for real estate professionals. You must be at least 18 and use it for business, not personal or household purposes. If you use it for a company, you confirm you can bind that company to these terms.

02What DealBasis does

DealBasis is AI software for first-pass underwriting of multifamily deals. It reads offering memorandums, T-12s and rent rolls, extracts the numbers with the page each came from, compares the broker's figures with the documents, screens the deal against your buy box (Pursue, Watch or Pass), fills your Excel model and gives quick returns on your assumptions.

Sample deals, briefs and numbers on this website are made up. They show how the product works, not results on any real property or for any client.

03Not investment advice

Nothing DealBasis produces is investment, legal, tax, accounting or financial advice, an appraisal, or an offer to buy or sell any security or property. DealBasis never tells you to buy and never recommends an offer price.

Outputs are drafts made with AI. They can contain errors, including numbers read wrongly from a document. Check each number against its cited page, and use your own judgment and advisers before you rely on anything. You are responsible for your investment decisions.

04Licensed, not sold

DealBasis is our proprietary software. We own it and all rights in it, this website, and the DealBasis name and logo. Clients receive a limited, non-transferable license to use the service for their own firm; nobody receives a copy of the code.

If you send us suggestions, we may use them freely without owing you anything. That never gives us any rights in your data.

05Your documents and data

You keep ownership of everything you upload and everything DealBasis produces for you. You give us permission to store, copy and process it only as needed to provide DealBasis to you, including through the service providers listed in our Privacy Policy.

Only upload documents you have the right to share. Some offering memorandums come with a confidentiality agreement; check that it allows sharing with a service provider for analysis before you upload.

Do not upload Social Security numbers, government ID numbers, bank or card numbers, or health information. DealBasis is not built to hold that kind of data.

We treat your documents as confidential, use them only to provide DealBasis to you, never share them with another client, and never use them to train AI models.

06Accounts and acceptable use

Keep your login to yourself and tell us right away at support@dealbasis.ai if you think someone else has used it.

You may not: resell DealBasis or let anyone outside your firm use it; share logins; copy, scrape, reverse engineer or try to extract the software; use DealBasis to build a competing product; try to reach another firm's data or test our security without written permission; or use DealBasis for anything unlawful, deceptive or harmful.

We may suspend access that breaks these rules or puts other users at risk. We tell you first where we can, and suspending access never deletes your data.

07Your AI account and third-party services

DealBasis uses Claude, an AI model made by Anthropic. Licensed firms connect their own Anthropic account and pay Anthropic directly for usage, under Anthropic's terms. Booking, payment and other third-party tools linked from this site are governed by their own terms.

08Fees and refunds

Prices on this website are summaries. The fees, refunds and the 180-day accuracy guarantee that apply to you are the ones in your Client Agreement or the Free First Deal Terms. The free first deal costs nothing.

09Disclaimers

Except as promised in a signed agreement, DealBasis and this website are provided "as is" and "as available". To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and accuracy, and we do not promise the service will be uninterrupted or error-free.

10Limits on liability

To the fullest extent the law allows, we are not liable for lost profits, lost deals, lost data or any indirect, special or consequential damages. Our total liability for any claim about this website or DealBasis is limited to the fees you paid us in the 12 months before the claim, or 100 dollars if you paid nothing. Your Client Agreement or the Free First Deal Terms, if they apply to you, set their own limit.

11Indemnity

If someone makes a claim against us because of documents you uploaded without the right to share them, or because you broke these terms, you agree to cover our reasonable costs of that claim.

12Ending use

You can stop using DealBasis at any time. We may end access under these terms if you break them. Sections on ownership, disclaimers, limits on liability and indemnity continue after use ends.

13Governing law and changes

These terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules.

We may update these terms. The date at the top shows the latest version; material changes take effect 30 days after we post them, or sooner if the law requires.
