Free First Deal Terms

These terms are between Prompted Ai LLC, which operates DealBasis ("DealBasis", "we", "us"), and the firm that sends us a deal for a free first-deal review ("you"). You accept them by ticking "I agree to the DealBasis Free First Deal Terms" when you book your free deal review, or by replying "I agree" to the email that links them, before you send the deal. The person who accepts confirms they are allowed to accept for the firm. We keep a record of who accepted, when, and which version.
01What you get
We run one of your current deals through DealBasis, free of charge.
You get a one-page PDF brief: the key numbers with the page each came from, the broker's NOI next to the NOI the documents support, a Pursue / Watch / Pass call against the buy box you give us, quick returns on your stated assumptions, and questions to send the broker.
It starts with a 30-minute call to set up your review, and ends with a 30-minute review call where we walk you through the results. We deliver the brief within 2 business days of receiving the deal files and your buy box.
02Price
Free. No card, no payment and no obligation to buy anything.
03Your files
Send the deal's offering memorandum, plus the T-12 and rent roll if you have them. A deal with only an OM gets a shorter brief and a request for the missing documents.
You confirm you are allowed to share these files with us.
Do not send Social Security numbers, bank account numbers or other personal financial data. Tenant names in a rent roll are fine.
04Confidentiality and ownership
Your files and the brief are yours. We use them only to run your review. We never share them with anyone else.
The review runs on our own Anthropic account. Anthropic processes the documents to read them; Supabase, Vercel and Cloudflare host and back up the data (the same vendors listed on our Security page).
If you do not sign the Client Agreement, we delete your files and brief 30 days after the call.
05Not advice
The brief is a first-pass draft for your own review. Check any number before you rely on it.
Nothing in it is investment, legal, tax or financial advice. Every decision is yours.
The brief is provided "as is", without any warranty. Because the review is free, we have no liability for it beyond what the law does not allow us to exclude.
06Other
Florida law applies.
These terms are the whole agreement for the free first deal. If you later sign the Client Agreement, it governs from then on.
One free first deal per firm.
